Ladies and Gentlemen:
So long as the CACC board of directors is under the direct control of the Mayor by virtue of the CACC by laws, board members cannot act in the best interests of CACC's charitable corporate mission. Such by-laws are unlawful as they conflict with the not-for-profit corporation law.
Therefore, on behalf of the citizens of New York as third-party beneficiaries to the contract between the City and the CACC, we demand that the CACC board of directors immediately amend such by-laws so as to:
1) eliminate the ex-officio board members to give all CACC board members equal voting power; and
2) eliminate the power of the Mayor and/or Deputy Mayor to appoint and remove CACC board members.
Failure to make such amendments to the CACC by-laws will result in our taking legal action to protect the citizens and animals of New York City.
Sincerely,
/s/ Gary Kaskel, co-chairman
